1. Acceptance of Terms
By accessing, browsing, or using BeamFlow ("the Service"), operated by BeamFlow Ltd. ("Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" shall refer to such entity. If you do not agree to these Terms, you must immediately discontinue use of the Service.
2. Description of Service
BeamFlow is a supply path optimization ("SPO") platform that enables digital publishers to validate, analyze, and manage their ads.txt and app-ads.txt files. The Service cross-references publisher entries against Supply-Side Platform ("SSP") sellers.json data to provide health scoring, syntax error detection, sellers.json verification, duplicate identification, unauthorized seller detection, and optimization recommendations. The Service may include, without limitation, web-based tools, APIs, dashboards, reports, monitoring features, and related documentation.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Account Registration and Security
Certain features of the Service require you to create an account. When registering, you agree to:
- Provide accurate, current, and complete information during the registration process and keep such information up to date.
- Maintain the confidentiality and security of your account credentials, including your password, and accept responsibility for all activities that occur under your account.
- Notify us immediately at support@beamflow.co if you suspect any unauthorized use of your account or any other breach of security.
- Not share your account credentials with any third party or allow any third party to access your account.
- Be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service.
- Maintain no more than one free account per person or legal entity.
We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms, has been inactive for an extended period, or has been created using false or misleading information.
4. Subscription Plans and Payment
The Service is offered under multiple subscription tiers, including free and paid plans. The features, limitations, and pricing of each plan are described on our pricing page and may be updated from time to time.
- Merchant of Record: All payments for the Service are processed by Paddle.com Market Limited ("Paddle"), which acts as our Merchant of Record. Paddle handles all billing, payment processing, sales tax, and VAT on our behalf. By purchasing a subscription, you agree to Paddle's Terms of Service and Privacy Policy in addition to these Terms.
- Billing: Paid subscriptions are billed on a recurring basis (monthly or annually, as selected at the time of purchase). By subscribing to a paid plan, you authorize Paddle to charge the applicable fees to your designated payment method on each billing date.
- Price Changes: We reserve the right to adjust pricing at any time. We will provide at least thirty (30) days' prior written notice of any price increase. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing.
- Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at support@beamflow.co. Upon cancellation, your access to paid features will continue until the end of your current billing period, after which your account will revert to the free plan.
- No Refunds: All fees are non-refundable. When you cancel your subscription, you will retain access to paid features through the end of your current billing period, but no refunds or credits will be issued for any unused portion of the subscription term, except as required by applicable law.
- Failed Payments: If a payment fails, we may suspend access to paid features until payment is successfully processed. We reserve the right to terminate your subscription after repeated payment failures.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to:
- Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms or applicable law.
- Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service, whether through hacking, password mining, or any other means.
- Use automated scripts, bots, crawlers, scrapers, or similar tools to access, query, or interact with the Service in a manner that exceeds reasonable use or places an undue burden on our infrastructure.
- Interfere with or disrupt the integrity, security, or performance of the Service, its servers, or the networks connected to it.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any aspect of the Service.
- Resell, redistribute, sublicense, or otherwise make the Service available to third parties without our prior written authorization.
- Upload, transmit, or distribute any viruses, malware, or other harmful or destructive content.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, without prior notice or liability.
6. Intellectual Property Rights
The Service, including but not limited to its software, design, user interface, graphics, text, logos, trademarks, and all underlying technology, is the exclusive property of BeamFlow Ltd. and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws. All rights not expressly granted herein are reserved.
You retain all ownership rights in the data you provide to the Service, including the ads.txt and app-ads.txt files you submit for analysis. By using the Service, you grant us a limited, non-exclusive, royalty-free license to process and analyze your data solely for the purpose of providing the Service to you. We claim no ownership over your ads.txt or app-ads.txt files or any proprietary data contained therein.
We may use aggregated, anonymized, and de-identified data derived from your use of the Service for purposes of improving the Service, conducting research, and generating industry insights, provided that such data cannot reasonably be used to identify you or your domains.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEAMFLOW LTD., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).
9. Indemnification
You agree to indemnify, defend, and hold harmless BeamFlow Ltd. and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any content or data you submit through the Service.
10. Data Accuracy and Third-Party Dependencies
The Service relies on third-party data sources, including sellers.json files published by SSPs and exchanges, to perform verification and analysis. While we make commercially reasonable efforts to maintain accurate and up-to-date data, we cannot guarantee the accuracy, completeness, or timeliness of third-party data. Sellers.json files may be outdated, incomplete, incorrectly formatted, or temporarily unavailable.
Results and recommendations provided by the Service are intended for informational and guidance purposes only and should not be construed as definitive compliance verification, legal advice, or a substitute for your own due diligence. You acknowledge and agree that you are solely responsible for verifying the accuracy of any information provided by the Service before acting upon it.
11. Termination
We may, at our sole discretion and without prior notice or liability, suspend or terminate your account and access to the Service, in whole or in part, for any reason, including but not limited to a breach of these Terms. Upon termination: (a) your right to use the Service will immediately cease; (b) we may delete your account data in accordance with our data retention policies; and (c) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 7, 8, 9, and 14.
You may terminate your account at any time by navigating to your account settings and selecting the option to delete your account, or by contacting us at support@beamflow.co.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date, and where feasible, by sending an email to the address associated with your account or by displaying a prominent notice within the Service. Your continued use of the Service following the effective date of any modifications constitutes your binding acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BeamFlow Ltd. is incorporated, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless you opt out of arbitration within thirty (30) days of first accepting these Terms by notifying us in writing at support@beamflow.co.
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against BeamFlow Ltd.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeamFlow Ltd. concerning the Service and supersede all prior or contemporaneous agreements, understandings, and communications, whether oral or written.
- Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of BeamFlow Ltd.
- Assignment: You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service disruptions.
